Merkzeug End User License Agreement

1. Provider and scope

The licensor is creative-it Software Consulting e.U., owned by Günther Wieser, Am Gassl 25, 3482 Gösing am Wagram, Austria (company register FN 473229 a, Landesgericht St. Pölten; VAT ID ATU61645777). Contact: guenther.wieser@creative-it.com.

This agreement covers Merkzeug applications and editor extensions supplied with this license. “You” means the individual or organization obtaining the software. If you act for an organization, you must be authorized to accept this agreement for it. Review the terms before installing or using the software; use is offered subject to your acceptance. If you do not accept, do not install or use it.

2. Permission to use

You receive a worldwide, non-exclusive license to install and use the supplied version on devices you own or control, for private and internal business purposes, and to make backup copies. Organizations may deploy it internally to their staff. This version is provided without a license fee and the permission to use it is not time-limited, subject to section 7. No subscription or later payment obligation is created by this agreement.

Rights not expressly granted are reserved. Merkzeug is proprietary software; this license does not grant access to its source code or permission to publish, sell, rent, sublicense or redistribute the application outside your organization. Modification, derivative application development and reverse engineering require the licensor's written permission, except where applicable law or a third-party license permits them. Statutory rights concerning interoperability, observation, testing, backup copies and transfer remain unaffected. Do not remove copyright or license notices.

3. Your content and templates

Your notes, images, metadata, diagrams and exports remain yours or their respective owners'. This agreement grants the licensor no ownership of them. You may use, modify and share your documents and exports, including commercially.

The included PDF template files and template instructions may be copied, customized and shared as templates, including with an agent, for private or commercial use. This permission does not grant rights to the Merkzeug name, logo or other trademarks, or to third-party fonts and images beyond their own licenses.

4. Third-party software and distribution platforms

Third-party components retain their own licenses, including open-source licenses. Their notices accompany the distribution. This agreement does not restrict any rights those licenses grant in the corresponding components. It does not withdraw rights validly granted under a license accompanying an earlier Merkzeug copy.

Distribution platforms are not the licensor of Merkzeug and are not parties to this agreement. Questions, support and claims about Merkzeug should be addressed to creative-it. Platform terms and the terms of any host application remain applicable separately. This agreement does not replace them or restrict mandatory rights against their providers. Any platform-specific supplemental terms supplied with an edition apply only to that edition.

5. Support, updates and data

Support is available at https://support.apps.creative-it.com/?app=merkzeug&lang=en or by email. No particular response time, future feature, compatibility with future operating systems or future update is promised unless separately agreed or required by law. A future paid offering requires a separate agreement and does not turn this license into a paid subscription. New terms do not retroactively replace the terms for a version already supplied.

The privacy information at https://merkzeug.creative-it.com/privacy-en.html explains data handling. This license is not consent to analytics, data uploads or access to your documents. Keep suitable backups of important files and check exports before relying on them.

6. Quality, liability and mandatory rights

The documented features and any express commitments apply. Except for these commitments and obligations imposed by law, no additional guarantee of uninterrupted or error-free operation or suitability for a particular purpose is given. Preview or beta versions may contain unfinished features and errors.

Mandatory consumer rights, statutory warranty and update obligations, product liability and other liability that cannot lawfully be excluded remain unchanged. Liability for intentional conduct, gross negligence, and injury to life, body or health is not excluded or limited by this agreement. Otherwise, liability is governed by applicable law. Nothing here limits your right to statutory remedies, refunds or access to a competent court.

7. Ending use

You may stop using and uninstall Merkzeug at any time. For a material breach of this agreement, the licensor may terminate the permission after written notice and a reasonable opportunity to remedy the breach, where a remedy is possible. Statutory termination rights remain unaffected. On termination, stop using and remove copies of the application, except copies retained as required by law. Your documents, exports and the template permissions in section 3 remain unaffected.

8. Applicable law and languages

Austrian law applies. If you are a consumer, this choice does not deprive you of mandatory protection under the law that would otherwise apply, including the law of your habitual residence. Jurisdiction follows applicable law; no exclusive court is imposed on consumers. If a provision is invalid, applicable law replaces it and the remaining provisions continue to apply where legally possible.

English and German versions are provided with the same intended meaning. No language-precedence clause limits mandatory consumer protection. Contact the provider if you find a discrepancy.

Supplement for the Merkzeug IntelliJ plugin

This supplement applies only to the Merkzeug IntelliJ plugin, in addition to the Merkzeug End User License Agreement above.

The licensor of the plugin is creative-it Software Consulting e.U. JetBrains is not the licensor and is not a party to this license agreement. Support and claims relating to Merkzeug are handled by creative-it using the contact details above. To the extent permitted by applicable law, JetBrains has no obligations or liability under this agreement. Your separate agreements with JetBrains, including the terms for your IDE and JetBrains Marketplace, remain applicable. Mandatory rights are unaffected.
